If you are talking an upgrade that doesn't require a new motherboard then I have one answer....yes.
If you are talking about a new motherboard (ie going from s939 to socket AM2 then I would say get a core 2 duo system instead).
The performance increase from single to dual core is more than significant these days.

What he said, although 939 systems are so cheap now that you can get this for 85 quid, a 4200 X2 for that price is pretty good if you are only planning on upgrading a CPU, you can OC it quite a lot as well.

In fact, with the recent price cuts, AMD chips might actually be a better bet than Core 2s (at stock of course.)
Indeed, basically everything under $235 (the price of an E6600) AMD has the better value. This price war is pretty crazy, the priced of a E4300 dropped $60 in just a month!
Still, for overclockers, Intel is still the best. An E4300 can be overclocked faster than a X6800. Now that's good stuff.
