I have about the same, i have an E6600 with a X1900X I think, and it works very well! Although when playing online with a bad host and 4v4, it can lag slightly.

i upgraded from x2 3800+ to a 6600 with the x1900xt card
worked much better
i recommend the upgrade

I'd go for the cut down X1950XT (the 256DDR3 version) as it doesnt cost much more than a 1950pro and it has a bit more punch.
I use one of those and an E6600 processor. Game runs really well at full details but can lag a bit in large scale sieges. I play at 1440 by 968 resolution (on 22inch monitor). Lowering the resolution to 1360 by 768 and sometimes putting unit detail to high instead of highest tends to make the sieges run smoothly.

Performance isn't the only thing that'll improve... when you OC even the lowest Conroe you'll get phenomenal speed improvements. In my opinion, you only really need to OC your CPU unless you're seriously hardcore... but then you probably wouldn't buy a crazy PC just so that you could have everything on large in M2:TW.
So long as you have at least a 7 series eVGA card (duno much about the ATI range) 2GB DDR2 800 Ram, and at least the lowest model Conroe, you should be able to have everything up high and still experience smooth game play.
