Main benefit of the passive system is one less little high pitched fan, and because they are really small, they're very high rpm fans so they tend to fail more frequently than the other fans in your system. Passive systems also require very good airflow to operate optimally as well as effectively. I prefer passive chipset coolers but my case also has 7 fans so...

well, ill probly have a case with 2 intakes and 1 exhaust , maybe a pci cooler too if needed...
the price difference aint that big of a deal, but the ds3 has 3 pci ports and im havin a soundcard and tv tunner wich might not fit in on 2 pci ports (ds4)
thats why i wanted to know if im gonna sacrifice the soundcard in favour of that cooling system...

If you listen to alot of music, then I'd say for you personally, go for the DS3. They're both pretty good mainboards and similarly priced so get the one that best suits your needs. Passive cooling is in my opinion, an upgrade, but it certainly isn't a necessity either. If your gonna use the ports then choose them over the cooling option and don't look back....
