I noticed in all my games New spain and the 13 colonies just disappear and suddenly there territories belong to there protecting faction. Does anybody else has this problem ?

Yeah it seems to happen eventually in all games, unless you are playing as their protectors.
that simple, try playing as spain, you will get the mission to take a couple of settlements, then New Spain will join your faction. The same thing for England, but the thirteen colony's will join England this time not new spain. This is basicly what the AI does... but with cheats, because they can't win the game without cheating, stupid ass cheaters.....

The protectorates will join France/GB/Spain after a few turns, if they are controlled by the AI. The code suggests it is between turn 6 and 12.

Also, for the human player there is a "chance" these colonies will join. I obtained all the mission targets (again, playing as the Spanish), and none of the remaining New Spain colonies joined my empire.

I was at war with the 13 colonies at the times they joined. Maybe because I did not have any troops within their borders at the time?
It was right after the turn they declared war, I just took the last missing province, and "voila", they joined even while at war with me.
Btw, does anyone else think that if they join, they should bring their troops and ships also, not just disband everything?

You'd think you want that... but I was playing railroad tycoon a time ago, and when you bought another company, you'd get their trains and railroads they had built. The rails and stations you'd want to keep, but it was a real hassle to click through every one train and check if you want it or not (you usually didn't, they were cheap enough to buy for a reason). I can imagine that being the same here (I was actually a bit afraid that would happen).
Also, if you're a bit tight on money at the time they join, some 1000s more upkeep cost may break your neck.
Then we would be discussing "Don't you think it's stupid that you have to get rid of all the crap the stupid AI bought after a nation joined you? CA, WTF?" right now.![]()
Well, I think it's already quite a big boost once you get these territories, giving you all their units as well might be a bit too much...

You can use a modded Startpos.esf file that eliminates the script for those factions to reunite with their mother country. This modification also allows you to play with those colonial factions, as with the script intact, you would suffer a freeze about 7 years into the campaign.
This is a link to a modded esf file created by Deadly Blowfish and Landwalker that allows all factions to be played, and prevents the assimilation of the colonies (New Spain, 13 Colonies, Louisiana) by their mother countries. This mod is stable in my experience, and I use it as the basis for my current games. This mod will not allow you to play emergent factions, as they are not available at the faction selection screen.
To install this mod follow the directions below -
1. Download the file from the provided source (startpos.esf) - which is the link at the bottom of this post.
2. Back up your original file (paste it to your desktop) - this is where mine is:
C:\Program Files\Steam\SteamApps\common\empire total war\data\campaigns\main
3. replace the original startpos.esf file with the new one that you downloaded.
4. If you choose to play a minor faction, you may encounter the Fog of War issue. This requires that you choose your army in your capital on the first turn via the "lists" function on the U.I. It's not a big deal, but You have to choose/move your armies/navies on the first turn to clear up the FOW.

Is it worth it to actually make them join you?
I mean as Spain I already get half of my protectorate's income AND one of my best trade partner is New Spain, if they join me I will have the full income but I will lose one of my best trade partner![]()
