If i remember correctly you need to build tavern or some building from which you can recruit assassin agents. Build some assassins and after some time you should get offer to establish guild.

They are recruitable from master assassins guild. Just try to specialize settlements, decide where do you want assassins guild and then recruit all your assassins in this settlement, it also helps to install governor with high dread (more than 4) in this settlement. Build brothel series buildings. Sucessfull assassinations will also help you to get this guild soon.
