You may have a bad governor? Or maybe you just don't have a large enough garrison. Open up the settlement details scroll to see what the problem is (unrest, taxes, distance to capitol, etc).

You have to supply a BIG garrison at first if its a far away province. Also keep in mind some provinces are higher in civil unrest like Spain. Basically Destroy all Buildings you can that are other faction made and especially buildings that only belong to that faction Taverns etc. ALWAY KILL the population if you try to take without killing you will most likely lose the province, I seem to. lol
Also Build a Temple Immediately and then Roads, Walls, etc that Build Law and Order bonuses, then Hapiness Buildings. Keep doing this with LOW taxes and you should do Well. ALSO KEEP A FULL garrsion at first.
Hope this helps, SPQR is unlike any other mod, Logistics and tactics is important to holding a province just like in Real life these things needed to be considered. I know alot of people that go to Westpoint that Play SPQR for tactical Realism, even though it may not be a historians mod, its for sure a Military Commanders mod.
i DID IT'S JUST HARD! MY CITIES ARE NOW CONVERTING TO ROMAN REBELS AND NOW I TRY TO ELIMINATE ALL THINGS THAT ARE FROM A FACTION.
NOW I HAVE TO START OVER CUZ THE GERMANS HAVE TAKEN MOST OF GAUL, THE SENATE ARE COUNTERATTACKING IN ITALY, THE CARTHAGINIANS MADE A D-DAY TYPE OF LANDING IN AFRICA AND SCICALY GREECE IS REVOLTING MY LEIGONS ARE DEFECTING! ONLY SOUTHERN iTALY SEEMS TO BE OKAY.....

As the others adviced, just keep large garrisons on your newly conquered cities, a great number of town watchs, even a full stack if necessary. In the following turns, as you progress in placing happiness buildings, you can gradually disband the garrison. After many turns of careful building, you will find that a 2-3 units garrison is more than enough.
But, if you are having serious difficulties, try starting a new campaign on easy/easy. SPQR IS a difficult game, so everyone needs a bit of training before being able to play succesfully.

Also Try playing by House Rules you will find the game will work better., Basically you have OVER EXTENDED yourself and Blitzed FAST in the game. You probably are just recruiting the best unit in the game in mass numbers. You will find these tactics while they work in the short term will COST you big in the game later on.
Take your time, think before you Attack, Read the forum here on how others play. SPQR is NOT your normal RTW mod, its designed a different way in game strategy. If you try to muscle your way through you will NEVER finish a campaign without cheats. lol
We all play the gamefor the challenge, You lost, it happens. In real life your entrails would be sacrificed on the German Alter or you would be strangled in the forum for the romans to see. Be glad its a game. You can learn from your mistakes and now its time to TRY play the game RIGHT this time.

i did my income is 300000 and i try not to go blitz but now the gauls just.. gave up they keep withdrawing from their cities and when they counter attack they fail witht them losing an entire army while ilose like 40 ppl.

Are you using correct legions? You should lose Way more than just 40 guys. You should have the following Legions configuration if you play by House Rules.
Pre-Marius Legion
1 General
3 Triarii
4-5 Principes
4-5 Hastatii
2 Equites
2 Velites
2 Slingers or Archers
Post-Marius Legion
1 General
1 1st Cohort (Has Legion Numeral and Title)
9 Cohorts
2 Roman Cavalry or Late cavalry auxillia
